NRYHA BOARD OF DIRECTORS/STAFF/COMMITTEE MEMBERS 

CODE OF CONDUCT

Board members, committee members and key staff must meet certain standards of conduct and attention in carrying out their responsibilities to NRYHA. These standards include the duty of care, the duty of loyalty, acting with integrity and loyalty to the organization, upholding confidentiality, disclosing conflicts of interest promptly, exercising due diligence in decision-making, attending meetings regularly, complying with all applicable laws and regulations, refraining from using their position for personal gain; all while prioritizing the best interests of the organization above their own personal interests. 

Duty of Loyalty and Care:

  • Act in good faith and with the highest standard of ethical conduct, prioritizing the organization's best interests above personal gain. 
  • Exercise reasonable care and diligence in decision-making, reviewing all relevant information before taking action. 
  • Familiarize themselves with the organization's bylaws, policies, and applicable laws. 


Conflict of Interest:

  • Fully disclose any potential conflicts of interest, both personal and professional, immediately upon becoming aware of them. 
  • Refrain from participating in any discussions or votes on matters where a conflict of interest exists. 
  • Follow the organization's established conflict of interest policy for managing conflicts appropriately. 


Confidentiality:

  • Maintain confidentiality of all sensitive information obtained during board deliberations and activities. 
  • Not disclose any proprietary or confidential information to unauthorized individuals. 


Attendance and Participation:

  • Attend board meetings regularly and actively participate in discussions. 
  • Provide timely notice of any absences and make arrangements to stay informed on key decisions. 
  • Fill in for work hours as needed to ensure all NRYHA activities are staffed.


Compliance with Laws and Regulations:

  • Adhere to all applicable laws, regulations, and ethical standards governing the organization's operations. 
  • Report any suspected violations of laws or policies to the appropriate authorities. 


Professional Conduct:

  • Conduct themselves with respect and courtesy towards fellow board members, staff, stakeholders, coaches, players, parents, members and the public. 
  • Avoid any behavior that could damage the organization's reputation and which is not in accordance with the NRYHA codes of conduct. 
  • Adhere to policies and procedures during meetings, games, practices and all activities whether participating as a Board member, spectator, parent or coach.


Reporting Concerns:

  • Report any concerns regarding potential ethical violations or non-compliance with this code of conduct to the Board Chair or designated individual. 


As a member of the Board of Directors, key staff person or committee member, I pledge to uphold the highest standards of ethical conduct, acting with integrity and loyalty to NRYHA at all times. I will diligently fulfill my responsibilities, disclose any potential conflicts of interest promptly, and maintain confidentiality of sensitive information, always prioritizing the best interests of the organization.

I understand the Board of Directors has a clear process for addressing potential violations of the code of conduct, including potential disciplinary actions for Board members, staff, committee members, players, coaches, parents and the membership. I understand that I may be removed from my position should I violate the Code of Conduct.
